TERMS & CONDITIONS

  1. INTRODUCTION

Welcome to MahaBachatGat Ecommerce Marketplace, operating through www.mahabachatgat.in and any other authorized Marketplace platforms operated by us (collectively referred to as the “Marketplace”, “Platform”, “Website”, “we”, “our”, or “us”).

These Terms & Conditions (“Terms”) govern your access to and use of the Marketplace, including all products, services, content, applications, seller registrations, customer accounts, and related features offered through the Platform.

By accessing, browsing, registering, purchasing, selling, or otherwise using the Marketplace, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, together with our Privacy Policy, Disclaimer, Seller Policy, Product & Services Policy, Shipping & Delivery Policy, Return, Refund & Replacement Policy, and any other policies published on the Platform.

If you do not agree to these Terms, you must discontinue use of the Marketplace.

  1. DEFINITIONS

For the purposes of these Terms, unless the context otherwise requires:

Marketplace means the digital marketplace platform operated by MahaBachatGat Ecommerce Marketplace.

Platform means the websites, applications, software, services, and digital infrastructure operated by the Marketplace.

Buyer means any individual or legal entity purchasing or intending to purchase products through the Marketplace.

Seller means an independent Self-Help Group (SHG) authorized to list products or eligible services on the Marketplace.

Customer means any visitor, registered user or buyer using the Platform.

Service Directory means the section of the Marketplace where independent service providers may publish lawful service listings. Unless expressly enabled by the Marketplace, the Service Directory functions solely as an information and contact directory and does not facilitate online payment for services.

Platform Subscription Fee means the annual fee charged for registration or continued participation on the Marketplace, where applicable. This fee is separate from the sale price of products.

Product means any lawful item listed for sale by an approved Seller.

Order means a request placed by a Buyer to purchase one or more products listed by a Seller.

User includes any visitor, customer, buyer, seller, service provider or other person accessing or using the Marketplace.

  1. ABOUT THE MARKETPLACE

MahaBachatGat Ecommerce Marketplace is a technology-enabled multi-seller marketplace established to promote Self-Help Groups (SHGs) across India.

The Marketplace provides a digital platform through which SHG Sellers may list and sell lawful products directly to Buyers.

The Marketplace operates primarily as a facilitator connecting independent Buyers and independent Sellers.

Except where expressly stated:

  • the Marketplace does not manufacture products;
  • the Marketplace does not purchase products for resale;
  • the Marketplace does not own inventory listed by Sellers;
  • the Marketplace does not operate warehouses for Seller inventory;
  • the Marketplace does not rebrand Seller products under its own brand.

Ownership, quality, compliance, packaging and fulfilment of products remain the responsibility of the respective Sellers.

The Marketplace follows a Zero Commission Policy unless otherwise notified. Sellers remain responsible for applicable taxes and statutory obligations. Platform Membership Fees and statutory collections required under applicable law are independent of product pricing.

  1. ELIGIBILITY

You may use the Marketplace only if:

  • you are legally competent to enter into a binding contract under applicable law;
  • the information provided during registration is accurate and complete;
  • you comply with these Terms and all applicable laws.

Where a User registers on behalf of an organization, SHG, the User represents that they are duly authorized to act on behalf of that organization.

The Marketplace reserves the right to refuse, suspend or terminate registration where eligibility requirements are not satisfied or where information provided is false, misleading or incomplete.

  1. USER ACCOUNTS

Certain features of the Marketplace require registration.

Users are responsible for maintaining the confidentiality of their login credentials and for all activities carried out through their accounts.

Users agree to:

  • provide accurate and up-to-date information;
  • promptly update any changes to their account information;
  • maintain the security of their password;
  • notify the Marketplace immediately of any unauthorized use of their account.

The Marketplace may suspend or deactivate accounts found to be involved in fraudulent activity, misuse of the Platform, policy violations, or unlawful conduct.

Users remain responsible for all actions performed through their accounts unless unauthorised access has been reported promptly and verified by the Marketplace.

  1. SELLER REGISTRATION & MARKETPLACE PARTICIPATION

The Marketplace is established to promote Self-Help Groups (SHGs) by providing a digital platform to market and sell lawful products.

Only approved Sellers may list products for sale on the Marketplace.

To become a Seller, an applicant must complete the prescribed registration process and provide such information and documents as may be required by the Marketplace, including identity, business and banking details.

Where applicable, Sellers shall also provide valid licenses, registrations or certifications required under applicable laws for the products they intend to sell.

Registration as a Seller does not create any partnership, employment, agency, franchise or joint venture between the Seller and the Marketplace.

The Marketplace reserves the right to approve, reject, suspend or terminate any Seller registration at its sole discretion where necessary to protect customers, maintain Marketplace integrity or comply with applicable law.

  1. MARKETPLACE MODEL

The Marketplace operates as a technology-enabled marketplace facilitator connecting independent Buyers and independent Sellers.

Except where expressly stated:

  • the Marketplace does not manufacture products;
  • the Marketplace does not purchase products from Sellers for resale;
  • the Marketplace does not own Seller inventory;
  • the Marketplace does not rebrand products under its own brand;
  • the Marketplace does not ordinarily warehouse Seller inventory.

Each Seller independently determines:

  • products offered for sale;
  • pricing;
  • stock availability;
  • packaging;
  • dispatch;
  • product descriptions;
  • applicable warranties (if any);
  • after-sales support.

The Marketplace merely provides digital infrastructure, payment facilitation where applicable, customer support and other value-added services to facilitate lawful commerce.

  1. PRODUCTS PERMITTED ON THE MARKETPLACE

Only lawful products complying with applicable laws and Marketplace policies may be listed.

Sellers shall ensure that products:

  • are genuine;
  • are accurately described;
  • comply with applicable quality standards;
  • comply with packaging and labelling requirements;
  • do not infringe intellectual property rights;
  • are safe for intended use.

The Marketplace may require documentary proof of compliance before approving certain categories of products.

The detailed list of permitted, regulated and prohibited products is governed by the Marketplace Products & Services Policy, which forms an integral part of these Terms.

The Marketplace reserves the right to remove, suspend or reject any listing which appears to violate applicable law or Marketplace policy.

  1. SERVICE DIRECTORY

The Marketplace may maintain a Service Directory through which eligible independent service providers may publish lawful service listings.

The Service Directory is intended to facilitate contact between customers and independent service providers.

Unless expressly enabled by the Marketplace:

  • services are listed for informational purposes only;
  • online payments for services are not processed through the Marketplace;
  • customers and service providers communicate and contract directly with one another;
  • the Marketplace is not a party to any service agreement entered into between users.

Where online payments for specific service categories are introduced in the future, such services shall be governed by additional policies and compliance requirements notified by the Marketplace.

  1. PLATFORM SUBSCRIPTION

The Marketplace may charge an annual Platform Subscription Fee for Seller registration and continued participation.

The Platform Subscription Fee:

  • is separate from the sale value of products;
  • is non-transferable;
  • may be revised from time to time with prior notice;
  • does not constitute commission on product sales.

Payment of the Platform Subscription Fee does not guarantee approval of Seller registration or continued Marketplace participation.

  1. PRODUCT ORDERS

Orders placed through the Marketplace constitute an offer by the Buyer to purchase products from the respective Seller.

Acceptance of an order remains subject to:

  • product availability;
  • successful payment authorization where applicable;
  • verification processes;
  • compliance with applicable law;
  • Seller confirmation.

The Marketplace may cancel or refuse any order where:

  • fraudulent activity is suspected;
  • pricing errors exist;
  • products become unavailable;
  • legal or regulatory issues arise;
  • technical errors occur.

The Buyer shall be informed of such cancellation wherever reasonably practicable.

  1. PRICING

Unless otherwise stated, product prices displayed on the Marketplace are determined by independent Sellers.

Sellers are responsible for ensuring that:

  • prices are accurate;
  • taxes are correctly applied;
  • product descriptions correspond to the listed price.

The Marketplace reserves the right to correct obvious pricing errors arising from technical or human mistakes.

  1. PAYMENTS

Payments for eligible product purchases may be processed through authorized third-party payment gateway providers approved by the Marketplace.

The Marketplace does not store complete debit card, credit card or internet banking credentials.

Payment processing remains subject to:

  • payment gateway approval;
  • banking network availability;
  • fraud prevention measures;
  • applicable laws and regulations.

The Marketplace shall not be liable for delays or failures arising solely from banks, payment gateways or other third-party financial institutions.

  1. TAXES

Applicable taxes shall be charged in accordance with prevailing laws.

Where required by law, the Marketplace may collect, deduct or remit statutory taxes applicable to e-commerce operators.

Each Seller remains responsible for complying with all applicable tax laws, including obtaining registrations where legally required.

Nothing contained in these Terms shall relieve any Seller of statutory obligations under applicable taxation laws.

  1. PLATFORM FEES

The Marketplace presently follows a Zero Commission Policy for product sales unless otherwise notified.

The Marketplace may recover:

  • Platform Subscription Fees;
  • statutory collections required by law;
  • optional value-added service charges;
  • other fees expressly communicated to Sellers.

Any future revision to Marketplace charges shall be notified in advance and shall apply prospectively.

No hidden charges shall be imposed.

  1. SHIPPING & DELIVERY

The Marketplace facilitates product sales between independent Buyers and independent Sellers.

Unless expressly stated otherwise, the responsibility for packing, dispatching and delivering products rests solely with the respective Seller.

Estimated delivery periods displayed on the Marketplace are indicative only and may vary depending upon:

  • Seller processing time;
  • courier availability;
  • destination;
  • weather conditions;
  • public holidays;
  • force majeure events; or
  • other circumstances beyond reasonable control.

The Marketplace shall use reasonable efforts to facilitate communication between Buyers and Sellers regarding shipping and delivery but does not guarantee delivery within any specific timeframe.

Detailed shipping procedures are governed by the Marketplace Shipping & Delivery Policy, which forms part of these Terms.

  1. RETURNS, REFUNDS & REPLACEMENTS

Returns, replacements and refunds shall be governed by the Marketplace Return, Refund & Replacement Policy.

Buyers may request returns or replacements only for products eligible under the applicable policy.

Refund approval shall remain subject to verification by the Seller and the Marketplace, where applicable.

The Marketplace reserves the right to reject fraudulent, abusive or repeated return requests.

Refunds, where approved, shall be processed through the original payment method or any other method permitted by applicable law.

  1. USER RESPONSIBILITIES

Every User agrees to use the Marketplace lawfully, ethically and responsibly.

Users shall not:

  • provide false or misleading information;
  • impersonate another person or organization;
  • upload unlawful, obscene, defamatory or offensive material;
  • infringe intellectual property rights;
  • interfere with Marketplace operations;
  • introduce viruses, malware or harmful software;
  • attempt unauthorized access to Marketplace systems;
  • misuse Marketplace services;
  • engage in fraudulent or deceptive practices;
  • violate any applicable law.

Users remain solely responsible for the content, information and communications submitted through their accounts.

  1. SELLER RESPONSIBILITIES

Every Seller shall:

  • comply with all applicable laws;
  • maintain required licenses, registrations and certifications;
  • list only products permitted under Marketplace policies;
  • provide accurate product descriptions;
  • dispatch products within the prescribed timelines;
  • honor accepted orders;
  • maintain product quality;
  • provide lawful invoices where applicable;
  • cooperate in resolving customer complaints.

Each Seller remains solely responsible for:

  • ownership of products;
  • product quality;
  • manufacturing standards;
  • packaging;
  • labelling;
  • warranties;
  • legal compliance;
  • after-sales obligations.

The Marketplace shall not assume ownership or manufacturer responsibility for Seller products.

  1. PROHIBITED ACTIVITIES

Users shall not use the Marketplace for:

  • unlawful activities;
  • sale of prohibited or counterfeit products;
  • sale of regulated products without required licenses;
  • money laundering;
  • fraudulent transactions;
  • infringement of intellectual property;
  • abusive conduct;
  • cyber offences;
  • distribution of malware;
  • activities prohibited under applicable Indian law.

The Marketplace may immediately suspend accounts involved in prohibited activities.

  1. INTELLECTUAL PROPERTY

Unless otherwise stated, all intellectual property rights relating to the Marketplace, including:

  • software;
  • website design;
  • logos;
  • trademarks;
  • graphics;
  • databases;
  • text;
  • source code;
  • documentation;
  • photographs created by the Marketplace;

remain the exclusive property of the Marketplace or its licensors.

Users shall not reproduce, distribute, modify or commercially exploit Marketplace content without prior written permission.

Sellers retain ownership of their own trademarks, product photographs, product descriptions and other original content submitted by them.

By uploading content to the Marketplace, Sellers grant the Marketplace a non-exclusive, royalty-free license to use such content solely for operating, promoting and administering the Marketplace.

  1. PRIVACY

Collection, storage and processing of personal information are governed by the Marketplace Privacy Policy.

By using the Marketplace, Users consent to such collection and processing in accordance with applicable law.

  1. THIRD-PARTY SERVICES

The Marketplace may integrate with third-party service providers including:

  • payment gateways;
  • logistics providers;
  • communication services;
  • analytics providers;
  • cloud hosting providers;
  • government verification services.

Such third-party services operate under their own terms and privacy policies.

The Marketplace shall not be responsible for the acts, omissions or services of independent third-party providers.

  1. DISCLAIMER OF WARRANTIES

Except to the extent prohibited by applicable law, the Marketplace is provided on an “as is” and “as available” basis.

The Marketplace does not warrant that:

  • the Platform will operate uninterrupted;
  • defects will always be corrected immediately;
  • the Marketplace will be free from technical errors;
  • every product listed will always be available.

Product warranties, where applicable, are provided by the respective Sellers or manufacturers.

Nothing contained herein limits any non-waivable consumer rights available under applicable law.

  1. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, the Marketplace shall not be liable for any indirect, incidental, consequential, special or punitive damages arising from:

  • use of the Platform;
  • Seller products;
  • service listings;
  • delayed deliveries;
  • courier failures;
  • third-party services;
  • payment gateway failures;
  • internet interruptions;
  • force majeure events;
  • unauthorized acts of third parties.

The Marketplace’s liability, where legally established, shall be limited to the extent permitted under applicable law.

Nothing in these Terms excludes liability that cannot legally be excluded.

  1. INDEMNITY

Users agree to indemnify, defend and hold harmless the Marketplace, its proprietors, officers, employees, affiliates, consultants and authorised representatives from any claims, losses, damages, penalties, liabilities, costs or expenses arising from:

  • breach of these Terms;
  • violation of applicable laws;
  • infringement of third-party rights;
  • misuse of the Marketplace;
  • Seller products;
  • User-generated content;
  • fraudulent or negligent acts.

This indemnity shall survive termination of these Terms.

  1. ACCOUNT SUSPENSION & TERMINATION

The Marketplace reserves the right to suspend, restrict or terminate any User or Seller account, temporarily or permanently, without prior notice where reasonably necessary to:

  • protect the security or integrity of the Marketplace;
  • investigate suspected fraud or unlawful activity;
  • comply with legal or regulatory requirements;
  • prevent misuse of the Platform;
  • enforce these Terms or other Marketplace policies;
  • protect the interests of Buyers, Sellers or the Marketplace.

Grounds for suspension or termination may include, but are not limited to:

  • providing false, inaccurate or misleading information;
  • repeated policy violations;
  • sale or attempted sale of prohibited or restricted products;
  • misuse of payment systems;
  • fraudulent transactions;
  • intellectual property infringement;
  • abusive or threatening conduct;
  • repeated failure to fulfil accepted orders;
  • repeated customer complaints arising from serious misconduct;
  • violation of applicable laws.

The Marketplace may suspend listings, withhold payouts where legally permissible, cancel pending transactions, or take other reasonable actions necessary to protect users or comply with applicable law.

Termination of an account shall not affect any rights or obligations that accrued prior to such termination.

  1. FORCE MAJEURE

The Marketplace shall not be liable for any delay, interruption or failure to perform its obligations where such delay or failure results from circumstances beyond its reasonable control, including but not limited to:

  • natural disasters;
  • floods;
  • earthquakes;
  • fire;
  • epidemics or pandemics;
  • acts of government;
  • changes in law;
  • strikes or labor disputes;
  • civil unrest;
  • war;
  • cyber-attacks;
  • failures of telecommunications networks;
  • internet outages;
  • power failures;
  • payment gateway disruptions;
  • logistics interruptions; or
  • any other event constituting force majeure under applicable law.

Performance of the affected obligations shall be suspended for the duration of the force majeure event.

  1. POLICY UPDATES

The Marketplace may amend, modify or update these Terms and any related policies from time to time to:

  • comply with changes in applicable law;
  • improve Marketplace operations;
  • introduce new services or features;
  • enhance security;
  • reflect business developments.

Updated versions shall be published on the Marketplace together with the revised “Last Updated” date.

Where required by law, Users may also be notified through email, account notifications or other reasonable means.

Continued use of the Marketplace after the effective date of revised Terms constitutes acceptance of such revisions.

  1. ELECTRONIC COMMUNICATIONS

By using the Marketplace, Users consent to receive communications electronically, including through:

  • email;
  • SMS;
  • WhatsApp or similar messaging platforms;
  • in-app notifications;
  • dashboard notifications; or
  • notices published on the Marketplace.

Electronic communications shall satisfy any legal requirement that such communications be in writing, to the extent permitted by applicable law.

Users are responsible for ensuring that their contact details remain accurate and up to date.

  1. GOVERNING LAW

These Terms, together with all Marketplace policies, shall be governed by and construed in accordance with the laws of the Republic of India.

Nothing contained in these Terms shall exclude or restrict any rights available to consumers under mandatory provisions of applicable law, including the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020.

  1. DISPUTE RESOLUTION

The Marketplace encourages Buyers and Sellers to resolve disputes amicably through direct communication wherever reasonably possible.

Where a dispute relates to a transaction conducted through the Marketplace, Users are encouraged to first contact the Marketplace Support Team, which may facilitate communication between the parties. The Marketplace acts solely as a facilitator and does not guarantee settlement of disputes.

If a dispute cannot be resolved amicably, the parties may pursue remedies available under applicable law.

Nothing in these Terms restricts the right of an eligible consumer to approach the appropriate Consumer Commission or any other competent authority in accordance with applicable law.

  1. JURISDICTION

Subject to applicable consumer protection laws and statutory rights, courts having jurisdiction at Chhatrapati Sambhajinagar, Maharashtra, India, shall have exclusive jurisdiction over disputes arising out of or relating to these Terms, the Marketplace or its operations.

Where a law provides otherwise, the jurisdiction prescribed by such law shall prevail.

  1. SEVERABILITY

If any provision of these Terms is held to be invalid, unlawful or unenforceable by a court or competent authority, that provision shall, to the extent necessary, be deemed severed from these Terms.

The remaining provisions shall continue in full force and effect.

  1. WAIVER

Failure or delay by the Marketplace in exercising any right or remedy under these Terms shall not constitute a waiver of such right or remedy.

No waiver shall be effective unless made in writing by an authorized representative of the Marketplace.

A waiver on one occasion shall not constitute a continuing waiver or affect any subsequent enforcement.

  1. ENTIRE AGREEMENT

These Terms, together with the following documents, constitute the complete agreement between the User and the Marketplace regarding access to and use of the Platform:

  • Privacy Policy;
  • Disclaimer;
  • Products & Services Policy;
  • Shipping & Delivery Policy;
  • Return, Refund & Replacement Policy;
  • Seller Policy;
  • Seller Agreement;
  • Seller Declaration & Undertaking;
  • any additional Marketplace guidelines or policies published from time to time.

In the event of any inconsistency, these Terms shall prevail except where a specific policy expressly provides otherwise.

ACKNOWLEDGEMENT

By accessing, registering on, or using the Marketplace, you acknowledge that you have read, understood and agreed to be bound by these Terms & Conditions and all related Marketplace policies.

If you do not agree with these Terms, you should discontinue use of the Marketplace immediately.
